Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", "you") and WebPixa Marketing Solutions ("WebPixa", "we", "us", "our"). By accessing our website, utilizing our 150+ free online tools, or commissioning our custom web development, software engineering, digital marketing, SEO, or AI automation services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are entering into this agreement on behalf of a company, enterprise, or legal entity, you represent and warrant that you hold the legal authority to bind such entity to these Terms.

WebPixa delivers enterprise-grade digital services customized to client specifications across four primary service pillars:

WebPixa provides a suite of 150+ free browser-based online tools (PDF Suite, Media Converters, Calculators, Dev Tools, Unit Converters, and Text Utilities) subject to the following terms:

• License Grant: We grant you a non-exclusive, worldwide, royalty-free license to use all tools for both personal and commercial operations.
• No Reverse Engineering or Automated DDoS: You agree not to execute automated scraping scripts, denial-of-service stress tests, or bypass frontend rate limits.
• Calculation Accuracy Advisory: While our financial (EMI, GST, SIP) and health (BMI, Calorie, TDEE) calculators use standard mathematical algorithms, they are provided for informational estimations only and do not constitute formal certified financial or medical counsel.

All custom development and marketing engagements are executed under a formal Statement of Work (SOW) or invoice specifying deliverables, timelines, and milestones:

• Standard Milestone Structure: Fixed-price development projects generally require a 50% mobilization deposit prior to sprint commencement, with intermediate milestone releases and 100% final balance due upon pre-launch staging approval.
• Monthly Retainer Engagements: SEO and Paid Ads management retainers are billed in advance on a recurring 30-day billing cycle.
• Scope Adjustments: Any features or revisions requested outside the mutually agreed SOW will be scoped as an addendum and billed at our standard hourly engineering rate.

To ensure timely sprint completion and optimal campaign performance, the Client agrees to:

• Provide required brand assets, copy, server credentials, and third-party API tokens in a timely manner.
• Review and provide milestone approvals or consolidated feedback within 5 business days of staging deployment.
• Warrant that all text, imagery, and intellectual property supplied to WebPixa do not infringe upon third-party copyrights or trademarks.

While WebPixa applies mathematically proven strategies, high-converting creative frameworks, and technical SEO rigor:

• Third-Party Ad Platforms: Client ad spend is paid directly to advertising platforms (Meta, Google, TikTok). WebPixa is not liable for platform-side auction volatility, sudden ad account policy changes, or algorithmic shifts initiated by third-party ad networks.
• Search Engine Indexation: Search rankings depend on Google's proprietary ranking algorithms. While we guarantee technical compliance, schema integration, and Core Web Vitals optimization, organic rankings cannot be guaranteed by any ethical agency.

8. Cancellation, Termination & Refund Policy

• Retainer Services: Ongoing monthly marketing or maintenance retainers may be canceled by either party with a written 14-day notice prior to the next billing date.
• Custom Development Projects: Mobilization deposits and discovery phase fees are non-refundable once sprint planning and technical architecture work have commenced. In the event of early termination, the client is billed on a pro-rata basis for completed milestones, and all work-in-progress code is transferred to the client.

9. 30-Day Post-Launch Warranty & Service Level Agreement (SLA)

All custom Next.js web applications and software platforms developed by WebPixa include a complimentary 30-day post-launch warranty. During this window, our engineering team resolves any technical bugs, browser compatibility glitches, or functional defects arising from the original SOW at zero additional cost.

10. Limitation of Liability & Governing Law

To the maximum extent permitted by applicable law, WebPixa's total aggregate liability arising out of or related to any service contract shall not exceed the total fees actually paid by the Client to WebPixa in the three (3) months preceding the event giving rise to the claim.

These Terms shall be governed by and construed in accordance with the laws of India. Any legal proceedings or disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
